Terms of Service
Effective May 2, 2026
These terms govern your use of Staging Assistant. The service is operated by Staging Assistant LLC, a Washington State limited liability company ("we," "us," "our"). When we say "you," we mean the individual or company using the service.
By creating an account or using the service, you agree to these terms. If you're agreeing on behalf of a company, you confirm you have authority to bind that company.
1. Your account
You need an account to use the service. You agree to:
- Provide accurate information when you sign up.
- Keep your login credentials secure and not share them.
- Take responsibility for everything that happens under your account.
Tell us at admin@stagingassistant.com if you suspect your account has been compromised.
2. Subscription and billing
The service is sold on a subscription basis. Billing is handled through our payment processor, Stripe. You authorize us (through Stripe) to charge your payment method on a recurring basis until you cancel.
Taxes. Subscription fees are exclusive of taxes unless we say otherwise. You're responsible for any sales, use, value-added, withholding, or similar taxes that apply to your subscription, except for taxes based on our income. Where we're required to collect taxes (for example, in jurisdictions where we're registered for sales tax), they'll be added to your invoice and collected through Stripe.
Trial. We currently offer a free trial that requires you to enter payment information at signup. You may cancel anytime during the trial without being charged. The exact trial length and conditions are shown on the signup or pricing page at the time you sign up. We may change the trial structure in the future, including whether payment information is required upfront.
Renewals and cancellation. Subscriptions auto-renew at the end of each billing period unless you cancel before renewal. You may cancel at any time from your account settings or by emailing us. Cancellation takes effect at the end of the current billing period; you keep access through that period.
Refunds. We don't issue refunds for partial billing periods, and annual subscriptions are non-refundable once charged. We'll consider exceptions in genuine cases of error or hardship — email us.
Past-due payments. If a payment fails, Stripe will notify you and retry on its standard schedule. If collection ultimately fails, your subscription will be cancelled. Once cancelled, the retention timelines in our privacy policy apply: we retain Customer Content for at least 90 days. After that, Customer Content becomes eligible for deletion and is removed on a routine schedule as part of normal data hygiene. You can request earlier deletion at any time by emailing admin@stagingassistant.com.
Price changes. We may change pricing for new subscription periods. We'll give you at least 30 days' notice by email before any change affects you, and you can cancel before the new price takes effect.
3. Acceptable use
You agree not to use the service to:
- Do anything illegal, or to facilitate anything illegal.
- Upload content that infringes someone else's rights (copyright, trademark, privacy, publicity, or otherwise).
- Upload sensitive personal data such as health information, biometric identifiers, government-issued IDs, or other special categories of data — the service isn't designed for them and we don't maintain HIPAA, FERPA, or similar safeguards.
- Harass, threaten, or impersonate other people.
- Interfere with the service: probe for vulnerabilities outside a responsible disclosure context, attempt to overwhelm our infrastructure, scrape the product, reverse-engineer it, or use it to build a competing product.
- Resell or sublicense the service without our written permission.
- Use the service to send spam, phishing, or malware.
4. Plan limits and fair use
Our paid plans include unlimited houses, items, and people. "Unlimited" means we don't impose a fixed numeric cap, and our intent is not to restrict legitimate use of the product by a real staging business.
The service does enforce rate limits and other technical guardrails to keep the platform stable for everyone. We reserve the right to throttle, contact, or temporarily limit accounts whose usage is so far outside typical business patterns that it suggests automated abuse, scraping, or use of the service for purposes other than running a staging business. Where this happens, we'll reach out and try to work it out before taking any disruptive action.
5. Your content
You keep ownership of everything you upload — houses, items, photos, notes, custom fields. You grant us a non-exclusive, worldwide, royalty-free license to host, store, transmit, display, and create necessary technical copies of your content solely to provide the service to you and your team. That license ends when you delete the content or close your account, subject to the retention timelines in the privacy policy.
You represent that you have the rights to upload the content you put into the service, including any photos depicting third parties or their property.
Marketing use
We will not use your content (including photos, property descriptions, or client information) in marketing, advertising, case studies, social media, sales materials, or other promotional contexts without your explicit written permission. This is a separate consent from the license you grant us above. Permission is per-use and revocable: if you say yes to one case study, that doesn't carry over to other uses, and you can ask us to remove the content from a marketing context at any time.
If you grant permission for content depicting a third party (for example, photos of a client's home, or a client's name), you confirm that you have the right to do so on their behalf.
Aggregate, de-identified statistics that don't identify any customer, property, or person — for example, "Staging Assistant tracks over X houses" — are not your content for purposes of this section, and we may use them freely.
Feedback
If you send us suggestions, feature requests, or other feedback about the product, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the service, including by building features based on it, with no obligation to compensate or credit you.
6. Privacy and data protection
How we handle personal information is described in our Privacy Policy. For B2B customers handling personal data of their own clients, a Data Processing Addendum is available on request from admin@stagingassistant.com.
7. Service availability
We aim to keep the service running, but we don't offer an uptime guarantee or SLA on self-serve plans. We provide the service on a best-effort basis. We may need to take the service down for maintenance; we'll try to give notice for planned maintenance when reasonable.
8. Changes to the service
We may add, change, or remove features over time. If we make a change that materially reduces the functionality you've been paying for, we'll tell you and give you a reasonable opportunity to cancel.
9. Termination
By you. Cancel your subscription at any time from account settings or by emailing admin@stagingassistant.com. Admins can remove individual team members from their company in the product. To delete your company's data entirely, email admin@stagingassistant.com.
By us. We may suspend or terminate your account if you materially breach these terms (including non-payment). Where the breach is curable, we'll usually give you notice and a chance to fix it first; where it isn't (for example, abusive behavior or illegal use), we may act immediately.
Effect. When the service ends for any reason, the retention timelines described in our privacy policy apply: Customer Content is retained for at least 90 days after termination. After that, Customer Content becomes eligible for deletion and is removed on a routine schedule as part of normal data hygiene. You can request earlier deletion at any time by emailing admin@stagingassistant.com.
Survival. Sections 5 (your content rights and reps), 10 (disclaimers), 11 (limitation of liability), 12 (indemnification), 13 (governing law), and any other provisions that by their nature should survive termination, do.
10. Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, or non-infringement. We don't warrant that the service will be uninterrupted, error-free, secure, or that any data will be preserved without loss.
11. Limitation of liability
To the maximum extent permitted by law:
- We're not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, even if we've been told they're possible.
- Our total liability arising out of or relating to these terms or the service is capped at the amount you paid us in the twelve months immediately before the event giving rise to the claim.
These limits apply even if a remedy fails its essential purpose, and they're a fundamental part of the bargain between us.
12. Indemnification
You'll defend, indemnify, and hold us harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising out of:
- Your use of the service in violation of these terms or applicable law.
- Content you upload, including any claim that it infringes someone else's rights or violates their privacy.
- Your representations about marketing permissions in section 5.
13. Governing law and disputes
These terms are governed by the laws of the State of Washington, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these terms or the service will be brought exclusively in the state or federal courts located in King County, Washington, and you consent to personal jurisdiction in those courts.
14. Changes to these terms
We may update these terms. The effective date at the top reflects the most recent change. For material changes, we'll notify active accounts by email at least 30 days before the change takes effect, and your continued use of the service after the change takes effect means you accept the new terms. If you don't, you can cancel.
15. General
Notices. We'll send legal notices to the email address on your account. You can send notices to us at admin@stagingassistant.com.
Electronic agreement. Clicking "I agree" or otherwise accepting these terms electronically constitutes a valid signature.
Assignment. You may not assign these terms or your account without our written consent. We may assign these terms in connection with a merger, acquisition, reorganization, or sale of substantially all our assets.
Force majeure. Neither party is liable for failure or delay caused by events beyond reasonable control (natural disasters, war, governmental action, internet or utility outages, labor disputes, and similar).
Export and sanctions. You confirm you're not located in a country subject to a US embargo and you're not on any US government denied- parties or sanctions list. You agree not to use the service in violation of US export control laws.
Entire agreement. These terms, together with the Privacy Policy and any DPA we've signed with you, are the entire agreement between us about the service and supersede any earlier agreements on the same subject.
Severability. If a court finds any part of these terms unenforceable, the rest stays in effect.
No waiver. Our failure to enforce a provision isn't a waiver of our right to do so later.
